1. Agreement to Terms

By accessing and using the Tensorhive website and services, you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our services. We reserve the right to modify these terms at any time. Your continued use constitutes acceptance of changes.

Tensorhive Ltd. ("Company," "we," "us") provides artificial intelligence consulting and development services from our office in Hong Kong. These terms govern all interactions with our company, website, and services.

2. Eligibility

You must be at least 18 years old to use our services or website. By engaging with Tensorhive, you represent that you have the legal capacity to enter into binding agreements. If you are acting on behalf of a company or organization, you represent that you have authority to bind that entity.

3. Service Description

Tensorhive provides three primary AI services:

1. Legal Document Review: NLP model training for document analysis and classification (4-6 weeks)
2. Time Series Forecasting: Predictive modeling from sequential data with dashboard (4-6 weeks)
3. AI Model Audit: Independent assessment of existing AI systems (3 weeks)

Service scope, timeline, and deliverables are defined in the specific engagement agreement or proposal. Services are performed on a project basis as agreed between Client and Company.

4. Engagement Process

All engagements begin with a discovery and scoping phase. We will provide a detailed proposal outlining:

• Project scope and deliverables
• Timeline and key milestones
• Pricing and payment schedule
• Data requirements and handling
• Client responsibilities

Once you sign the proposal, a formal engagement agreement takes effect. This agreement, along with these Terms & Conditions, governs the service relationship.

5. Payment Terms

Pricing

Pricing is quoted in Hong Kong Dollars (HKD) and specified in the engagement agreement. Our standard services are offered at fixed prices:

• Legal Document Review: HKD 11,400
• Time Series Forecasting: HKD 8,200
• AI Model Audit: HKD 5,600

Custom engagements will include custom pricing. All prices exclude any applicable taxes or government fees.

Payment Schedule

Standard payment terms are 50% upfront upon engagement signature and 50% upon project delivery. Alternative payment schedules can be negotiated for longer engagements.

Late Payment

Invoices are due within 14 days of issuance. Late payments may accrue interest at 1% per month (or the maximum rate allowed by law if lower). We may suspend work if payment is more than 14 days overdue.

6. Intellectual Property

Company IP

Tensorhive retains all intellectual property rights in our methodologies, frameworks, tools, and pre-existing materials. You may not reverse-engineer, reproduce, or distribute our proprietary systems without written permission.

Deliverables

Models, dashboards, reports, and documentation created specifically for your project ("Deliverables") are provided for your use in the scope agreed. You own the data you provide. We retain rights to our underlying methodology and may use learnings (without disclosing your data) to improve our services.

7. Data & Confidentiality

You remain the owner of all data you provide. Tensorhive:

• Will not share your data with third parties without written consent
• Will not use your data for purposes beyond the agreed engagement
• Will maintain confidentiality under the PDPO and applicable laws
• Will delete or securely dispose of data upon project completion, unless agreed otherwise

Both parties agree to maintain confidentiality of non-public information shared during the engagement.

8. Limitations of Liability

Disclaimer

Services are provided "as is" without warranties of any kind. We do not warrant that models will achieve specific accuracy levels, that forecasts will be perfectly accurate, or that systems will never encounter errors. Machine learning systems have inherent limitations.

Liability Cap

Our total liability for any claim arising from these terms or services shall not exceed the amount you paid for the engagement. This applies to all claims, including negligence, breach of contract, or misrepresentation.

Excluded Damages

We are not liable for indirect, incidental, special, or consequential damages (lost profits, lost revenue, business interruption, lost data) even if advised of the possibility of such damages.

9. User Responsibilities

You agree to:

• Provide accurate, complete information and data
• Maintain confidentiality of passwords and access credentials
• Use services only for lawful purposes
• Not attempt to access systems without authorization
• Not harass, abuse, or engage in conduct harmful to Company personnel
• Provide timely feedback and participate actively in discovery/testing phases

10. Prohibited Use

You may not:

• Use services for illegal activities or to violate laws
• Attempt to breach, hack, or gain unauthorized access to our systems
• Reverse-engineer our proprietary systems or methodologies
• Publicly disclose our internal processes without permission
• Share access credentials or attempt to resell services
• Interfere with service availability or impair functionality

11. Termination

By Client

You may terminate an engagement with written notice. Termination during active work phases may incur charges for work already completed.

By Company

We may terminate if: (1) payment is more than 30 days overdue, (2) you breach material terms and fail to cure within 15 days of notice, or (3) we cannot complete work due to lack of client cooperation or data access.

12. Confidentiality Agreement

Both parties agree to maintain confidentiality of non-public information. This includes methodologies, client names, project details, and business discussions. Exceptions are made for disclosures required by law or court order.

13. Disclaimers

To the extent permitted by law:

• Services are provided without warranty of any kind, express or implied
• We do not warrant uninterrupted, error-free service
• We are not responsible for third-party services or tools
• Machine learning models have inherent uncertainty and limitations

14. Indemnification

You agree to defend, indemnify, and hold harmless Tensorhive and its personnel from any claims, damages, or costs (including legal fees) arising from:

• Your violation of these terms
• Your use of services in an unlawful manner
• Your breach of confidentiality or intellectual property obligations
• Claims related to data you provided to us

15. Dispute Resolution

Informal Resolution

Before formal proceedings, we encourage good-faith discussion. Contact us at [email protected] to resolve disputes informally.

Jurisdiction & Governing Law

These terms are governed by the laws of Hong Kong SAR, without regard to conflict-of-law principles. Both parties agree to the exclusive jurisdiction of the courts of Hong Kong for any legal proceedings.

16. General Provisions

Entire Agreement

These Terms & Conditions, along with any engagement agreement or proposal, constitute the entire agreement regarding services. They supersede all prior agreements or understandings.

Severability

If any provision is found invalid or unenforceable, the remaining provisions continue in effect.

Assignment

You may not assign these terms or your engagement without written consent. Tensorhive may assign rights to service providers or successors.
